Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and KiwiPost AI, operated by Yaohui Zhang (sole trader) in New Zealand ("we", "us", "our"). They govern your use of the KiwiPost AI website and Service at kiwipost.vercel.app.

By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, please do not use the Service.

Nothing in these Terms excludes, restricts, or modifies any right you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other New Zealand law that cannot be excluded by contract.

1. Definitions

  • "Service" means the KiwiPost AI website, related apps, APIs, and AI-powered post generation features.
  • "Account" means the user account you create via Google sign-in.
  • "Free Tier" means access to the public generator with usage limits, available only to users in New Zealand.
  • "Pro Subscription" means the paid monthly subscription unlocking the Studio and additional features.
  • "Generated Content" means social media posts, video scripts, and other text outputs produced by the Service in response to your inputs.

2. Eligibility

To use the Service:

  • The Free Tier is available only to users located in New Zealand. We use IP-based geolocation to enforce this restriction.
  • Pro Subscriptions are available to anyone worldwide who is at least 18 years old and legally capable of entering into a binding contract.
  • You must provide accurate information when creating your account.
  • You may only hold one account per person or business.

3. Account creation and security

You create an account by signing in with Google through our authentication provider, Clerk. You are responsible for:

  • Keeping your Google account credentials secure.
  • All activity that occurs under your account.
  • Notifying us immediately at alanyang2026@gmail.com if you suspect unauthorised access.

4. Subscription, billing, and auto-renewal

4.1 Pricing

The Pro Subscription costs NZ$15.00 per month, charged in New Zealand Dollars. Prices may include or exclude GST depending on the operator's GST registration status (see your receipt for the breakdown).

4.2 Payment processor

All payments are processed by Stripe Payments New Zealand Limited. Your card details are handled directly by Stripe and are never stored on our servers.

4.3 Auto-renewal

Pro Subscriptions automatically renew every month on the same calendar day as your initial payment, until you cancel. By subscribing, you authorise us (via Stripe) to charge your payment method on each renewal date.

4.4 Cancellation

You may cancel your Pro Subscription at any time by:

  • Clicking the "Manage Subscription" button in the Studio, which opens the Stripe Customer Portal, then clicking "Cancel subscription"; or
  • Emailing us at alanyang2026@gmail.com with the subject "Cancel subscription".

Cancellation takes effect at the end of your current billing period. You will retain access to Pro features until that date. No partial refunds are issued for unused time within a billing period, except as required by the Consumer Guarantees Act 1993.

4.5 Failed payments

If your payment fails (for example, due to an expired card), Stripe will automatically retry up to three times over approximately two weeks. During this period, your account is marked "past due" but remains accessible. If all retries fail, your subscription will be cancelled and Pro access removed.

4.6 Price changes

We may change subscription pricing from time to time. We will notify you by email at least 30 days before any price change takes effect. You may cancel before the new price applies if you do not accept it.

5. Refunds

We offer a 14-day satisfaction guarantee on your first Pro Subscription payment. If the Service is not what you expected within the first 14 days, contact us at alanyang2026@gmail.com for a full refund.

Beyond the 14-day window, refunds are issued at our discretion, except where you are legally entitled to a refund or remedy under the Consumer Guarantees Act 1993 (for example, if the Service is not fit for its intended purpose).

Renewal charges (months 2 onwards) are not automatically refundable. Always cancel before your next renewal date if you do not wish to continue.

6. Free tier limits

The Free Tier is subject to the following limits:

  • Available only to users in New Zealand (verified by IP address).
  • 2 generations per IP address per 24 hours.
  • Caption-only output (no video scripts).
  • No saved history.
  • No access to the Studio.

We reserve the right to adjust these limits at any time, or to suspend the Free Tier altogether without notice if it is being abused.

7. Acceptable use

You must not use the Service to:

  • Generate content that is unlawful, defamatory, harassing, threatening, hateful, sexually explicit, or that promotes violence, terrorism, or illegal activities.
  • Generate content that infringes on the intellectual property rights of others (including trademarks, copyrights, or publicity rights).
  • Generate misleading, deceptive, or fraudulent content, including content intended to mislead consumers in violation of the Fair Trading Act 1986.
  • Generate content impersonating real people or businesses without their explicit consent.
  • Reverse engineer, scrape, abuse rate limits, or attempt to circumvent the Free Tier geographic restrictions or usage limits.
  • Inject prompts intended to manipulate the AI to produce outputs outside of our intended use case (prompt injection).
  • Resell, sublicense, or white-label the Service or Generated Content as your own software product.
  • Submit personal information about third parties without their consent.

Violation of these acceptable-use rules may result in immediate suspension or termination of your account, without refund.

8. AI-generated content

8.1 Ownership

You own the Generated Content produced from your inputs and may use it for any lawful purpose, including commercial use. We claim no ownership rights over your Generated Content.

8.2 Disclaimer

Generated Content is produced by third-party large language models (currently OpenAI GPT-4o-mini). It may contain:

  • Factual inaccuracies or outdated information.
  • Cultural or contextual misunderstandings.
  • Phrases that coincidentally resemble existing copyrighted material.
  • Tone or content that does not match your brand voice.

You are solely responsible for reviewing Generated Content before publishing it, and for ensuring it is accurate, lawful, and appropriate for your audience and platform. We make no warranty regarding the accuracy, fitness for purpose, or non-infringement of Generated Content.

8.3 Platform compliance

You are responsible for ensuring that your use of Generated Content complies with the terms of service of the social media platforms where you post it (Instagram, Facebook, TikTok, LinkedIn, X, etc.).

9. Intellectual property

The KiwiPost AI website, source code, logo, brand name, and all related software (excluding open-source dependencies and third-party AI models) are owned by Yaohui Zhang and are protected by New Zealand and international intellectual property law.

You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written permission.

10. Service availability

We provide the Service on a "best efforts" basis. We do not guarantee that the Service will be available continuously, uninterrupted, error-free, or free of security vulnerabilities.

We may temporarily suspend the Service for maintenance, updates, or in response to security incidents. We will provide advance notice of planned maintenance where reasonably practicable.

We rely on third-party services (Stripe, Clerk, Supabase, OpenRouter, Vercel) that may experience their own outages. These outages are outside our control.

11. Liability

To the maximum extent permitted by New Zealand law:

  • We will not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Service, including loss of profits, business opportunities, data, or reputation.
  • Our total aggregate liability to you for any claim arising from or related to the Service is limited to the amount you have paid us in fees in the 12 months preceding the event giving rise to the claim.
  • We are not liable for the consequences of Generated Content you choose to publish, including any losses caused by inaccurate, infringing, or harmful AI output.

Important: Nothing in these Terms excludes, restricts, or modifies any consumer guarantee, right, or remedy you have under the Consumer Guarantees Act 1993, the Fair Trading Act 1986, or any other law that cannot be excluded by contract. If you are a consumer (rather than acquiring the Service in trade), the Consumer Guarantees Act 1993 may give you additional rights and remedies.

12. Termination

You may terminate your account at any time by emailing us. We will delete your personal information within 30 days, subject to the data retention requirements set out in our Privacy Policy.

We may suspend or terminate your account, with or without notice, if you:

  • Materially breach these Terms;
  • Misuse the Service in violation of section 7 (Acceptable use);
  • File a fraudulent chargeback or dispute;
  • Fail to pay your subscription after all retry attempts;
  • Pose a security or legal risk to us or other users.

On termination, your access to the Service ends immediately, and we may delete your data in accordance with our Privacy Policy.

13. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision.

Material changes (such as changes to fees, refund policy, or acceptable-use rules) will be communicated to active account holders by email at least 14 days before they take effect. Continued use of the Service after a change has taken effect means you accept the updated Terms.

14. Governing law and disputes

These Terms are governed by the laws of New Zealand.

Any dispute arising from your use of the Service that cannot be resolved through good-faith email discussion within 30 days will be submitted to the exclusive jurisdiction of the District Court of New Zealand at Auckland, or the High Court of New Zealand if jurisdictional limits require.

If you are a consumer, this clause does not prevent you from taking a complaint to the Disputes Tribunal of New Zealand for claims under NZ$30,000.

15. Electronic agreement

You agree that creating an account or clicking any "Pay", "Subscribe", or "Agree" button constitutes a valid electronic signature and forms a binding contract under the Electronic Transactions Act 2002.
